2. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Adventek. You must be at least 18 years of age and have the legal capacity to enter contracts under Nigerian law. If you register on behalf of a company, you represent that you have authority to bind that company.
Acceptance occurs when you (a) click “I Accept” or similar during registration, (b) create an account, or (c) use any feature of the Service after being presented with these Terms.
3. Account Registration & Eligibility
3.1 Influencer Registration. Influencers must complete: (i) phone OTP and email verification; (ii) Social OAuth synchronisation (Meta, TikTok, X, YouTube); (iii) KYC via valid NIN or BVN linked to a designated payout bank account; (iv) category preference selection; and (v) acceptance of these Terms. One account per individual is strictly enforced.
3.2 Brand Registration. Brands must provide accurate company or trading details, authorised contact information, and accept these Terms. Adventek may require additional verification for high-value packages.
3.3 Account Security. You are responsible for safeguarding login credentials and for all activity under your account. Notify Adventek immediately of any unauthorised use.
4. Commercial Model & Payments
4.1 70/30 Split. All standardised packages and custom campaigns are structured so that 70% of the client invoice is allocated to the Creator Cash Pool and 30% is retained by Adventek as Platform Margin (covering technology, verification, compliance, support, and net margin).
4.2 Brand Payments. Brands pay the full package or campaign amount upfront. Funds are confirmed before matching and briefing commence. Unused portions of the Creator Cash Pool may remain available for reallocation under package rules; Platform Margin is non-refundable once a campaign has been matched and briefing has started, except as required by law or as expressly stated in a refund policy.
4.3 Influencer Payouts – Two-Stage Escrow.
- Stage 1 (40% Base Release): Released to the Influencer’s wallet upon verified publication of the deliverable (API or OCR/evidence confirmation).
- Stage 2 (60% Retention Release): Released after 30 calendar days of continuous feed compliance, confirmed by automated polling that the content remains live and indexable.
Premature deletion, archiving, or material alteration that removes required disclosures or tracking elements forfeits the unpaid Stage 2 balance, may lock further withdrawals pending review, and will reduce the Influencer’s DQS.
4.4 Surcharges. Brand Usage Rights (+20% per month), Category Exclusivity (+40%), Rush Delivery (+30%), and Additional Script Revisions beyond the two-round cap (+15% per cycle) are applied as published. 70% of each surcharge flows to the relevant Creator(s); 30% is retained as Platform Margin.
5. Influencer Obligations
- Deliver content that matches the accepted brief, platform requirements, and quality standards.
- Include mandatory disclosure (#Ad, #Sponsored, or platform-native paid partnership label) in every sponsored post.
- Keep the content live and publicly indexable for at least 30 calendar days from verified publish date.
- Where required (Micro Cluster, Hybrid Omni Engine, or brand-mandated), submit drafts for pre-publish approval at least 48 hours before intended launch and not publish without sign-off.
- Respect the two-round revision cap; additional revisions are chargeable as published.
- Not engage in artificial inflation of views, likes, comments, or followers (bots, pods, purchased engagement). Such activity will be stripped from metrics, may reduce payout, and can result in suspension.
- Maintain accurate KYC and bank details and not attempt to operate multiple accounts.
- Comply with all applicable laws, platform terms, and ARCON or other regulatory requirements applicable to the content.
6. Brand Obligations
- Provide accurate product information and claims; Brands remain solely responsible for the truthfulness of all claims.
- Fund the campaign fully before matching and briefing commence.
- Respond to pre-publish approval requests within agreed windows so that timelines are not frustrated.
- Not request or instruct Influencers to make false, misleading, or non-compliant claims.
- Respect the two-round revision limit or pay the published surcharge for additional cycles.
- Comply with ARCON and other applicable advertising and consumer protection rules for regulated categories.
7. Content, Intellectual Property & Usage Rights
Influencers retain ownership of their original content, subject to a licence granted to the Brand and to Adventek as follows:
- Organic posting rights on the Influencer’s own channels are included in the base rate.
- Extended digital reposting or paid amplification rights require the published usage surcharge and are limited to the paid window unless otherwise agreed.
- Adventek receives a non-exclusive, royalty-free licence to use campaign content for platform operations, verification, reporting, and (with reasonable anonymisation where appropriate) case studies and marketing of the Service.
Brands warrant that all assets they supply (logos, product images, scripts, claims) do not infringe third-party rights and that they have the right to grant Influencers and Adventek the necessary licences to use those assets for the campaign.
8. Verification, Anti-Fraud & Quality
Adventek uses API confirmation, OCR/evidence upload, automated URL polling, engagement authenticity checks, and related methods to verify publication and retention. Artificial engagement (bots, pods, purchased interactions) is filtered and may result in metric adjustment, payout reduction, DQS penalty, suspension, or permanent removal from the pool.
DQS is recalculated based on engagement quality, verification history, brand feedback, and authenticity signals. Low or declining DQS may restrict access to high-value briefs or result in probation or suspension.
9. Regulatory Compliance (including ARCON)
Campaigns in regulated sectors (including but not limited to Fintech & Banking, FMCG & Food, Beauty & Personal Care where claims are made, Real Estate, and health-adjacent categories) may be subject to Advertising Regulatory Council of Nigeria (ARCON) pre-checks. Adventek may block non-compliant copy prior to assignment or publication. Brands remain ultimately responsible for the legality and accuracy of their claims and materials.
10. Limitation of Liability & Disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by Nigerian law, Adventek excludes warranties of uninterrupted availability, fitness for a particular purpose, or non-infringement beyond what is expressly stated.
Adventek’s total aggregate liability arising out of or relating to any campaign or these Terms shall not exceed the Platform Margin actually received by Adventek for that campaign. Adventek is not liable for indirect, incidental, special, or consequential damages, or for lost profits or data, except where such exclusion is prohibited by law.
Influencers are independent contractors. Nothing in these Terms creates an employment, partnership, or joint-venture relationship between Adventek and any User.
11. Indemnification
You agree to indemnify, defend, and hold harmless Adventek and its officers, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your content or product claims; (c) your violation of any law or third-party right; or (d) any dispute between Brand and Influencer that is not caused by Adventek’s wilful misconduct.
12. Suspension, Termination & Forfeiture
Adventek may suspend or terminate accounts for material breach, fraud, repeated low DQS, non-compliance with retention or disclosure rules, or risk to the Platform or other Users. Upon termination for cause, pending Stage 2 balances may be forfeited where non-compliance is established. Users may close their accounts at any time, subject to completion of active campaigns and settlement of outstanding amounts.
13. Data Protection (NDPR)
Adventek processes personal data in accordance with the Nigeria Data Protection Regulation (NDPR) and applicable law. Identity, KYC, contact, and campaign data are processed for account administration, matching, verification, payout, compliance, and service improvement. Users may exercise rights of access, correction, and (where applicable) deletion by contacting the designated data protection contact. Full details are set out in the Adventek Privacy Notice.
14. Dispute Resolution & Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Parties shall first attempt good-faith negotiation. If unresolved within 30 days, disputes may be referred to mediation. Failing mediation, disputes shall be resolved by arbitration under the Arbitration and Conciliation Act (or successor legislation) seated in Nigeria, or by the competent courts of Nigeria, at the election of the claiming party for claims within applicable small-claims limits.
15. General Provisions
- Entire Agreement: These Terms, together with any package-specific terms and the Privacy Notice, constitute the entire agreement between you and Adventek regarding the Service.
- Amendments: Adventek may update these Terms from time to time. Material changes will be notified via the Platform or email. Continued use after the effective date constitutes acceptance.
- Severability: If any provision is held unenforceable, the remainder continues in full force.
- No Waiver: Failure to enforce any right does not constitute a waiver of that or any other right.
- Contact: Questions regarding these Terms may be directed to the Adventek legal or support contact published on adventek.net.
